TERMS OF USE

Điều Khoản Sử Dụng (sau đây gọi tắt là “Điều Khoản”) này được hiểu là sự thỏa thuận pháp lý giữa Người Sử Dụng và Công Ty Cổ Phần Dịch Vụ Trực Tuyến Cộng Đồng Việt (sau đây gọi tắt là “VietUnion”), được áp dụng khi Người Sử Dụng, với tư cách là khách hàng, truy cập, sử dụng các sản phẩm, dịch vụ về Quà Tặng Số do VietUnion cung cấp trên các kênh giao dịch của VietUnion bao gồm nhưng không giới hạn: website https://watane.vn/ và/hoặc tất cả các phương tiện, ứng dụng, kênh liên quan khác theo từng thời kỳ (sau đây gọi tắt là “Kênh Giao Dịch”).
These Terms of Use (hereunder referred as the “Terms”) interpreted as a legal agreement between the User(s) and Viet Union Online Services Corporation (hereunder referred as “VietUnion”), which is applied when the User, as a customer, accesses and uses the products, services developed by VietUnion to provide the Digital Giftson the website https://watane.vn/ (hereunder referred as the “Transaction Channels”).

Thông qua việc sử dụng Dịch Vụ, Người Sử Dụng đồng ý rằng Người Sử Dụng đã đọc, hiểu rõ và chấp nhận tuân thủ những quy định của Điều Khoản này và các quy định, chính sách, điều khoản liên quan khác của VietUnion.
By engaging with the Service, the User(s) agree that they have fully read, understood and agreed to comply with the provisions of these Terms as well as other relevant regulations, policies, and terms of VietUnion.

Nếu Người Sử Dụng có bất kỳ câu hỏi nào về Điều Khoản, vui lòng liên hệ VietUnion qua thư điện tử support@payoo.vn hoặc các kênh liên hệ khác do VietUnion công bố trong từng thời kỳ.
If the User has any questions regarding these Terms, please contact VietUnion via email at support@payoo.vn or other contact channels announced by VietUnion from time to time.

ĐIỀU 1. GIẢI THÍCH TỪ NGỮ
ARTICLE 1. INTERPRETATION

Trong Điều Khoản này, trừ trường hợp ngữ cảnh cụ thể có quy định khác, các từ ngữ và thuật ngữ sau đây được hiểu như sau:
In these Terms, unless otherwise required by the context, the following words and terms shall have the meanings set out below:

1. Website https://watane.vn/: Được hiểu là trang thông tin điện tử chính thức chuyên cung cấp các sản phẩm và các giải pháp toàn diện về Quà Tặng Số thuộc sở hữu của VietUnion.
   Means the official website specializing in providing comprehensive digital gifting products and solutions which is owned by VietUnion.
2. Quà Tặng Số (eVoucher): Được hiểu là phiếu mua hàng, phiếu sử dụng dịch vụ điện tử do VietUnion cung cấp, có giá trị và được dùng trong giao dịch mua/đổi lấy hàng hóa, dịch vụ tại các thương nhân có hoạt động thương mại hợp pháp trên cơ sở liên kết hợp tác với VietUnion (sau đây gọi tắt là “Bên Bán Hàng”).
   Digital Gifts (eVoucher): means the electronic voucher and service coupon provided by VietUnion, valid and used in the purchase/exchange transaction at seller legally operating business under cooperation agreements with VietUnion (hereunder referred as the “Seller”).
3. Dịch Vụ: Được hiểu là các sản phẩm, dịch vụ do VietUnion cung cấp trên Kênh Giao Dịch.
   The Services: Refers to products, services developed by VietUnion to provide eVoucher on the Transaction Channels.
4. Người Sử Dụng: Được hiểu là cá nhân, tổ chức sử dụng Dịch Vụ.
   User(s): Mean any individual or organization that engaging with the Services.
5. Thông Tin Người Sử Dụng: Được hiểu là dữ liệu số hoặc thông tin giúp xác định cá nhân, tổ chức cụ thể (bao gồm dữ liệu về lịch sử giao dịch của Người Sử Dụng; các thông tin về hoạt động, lịch sử sử dụng Dịch Vụ và thông tin khác về quá trình sử dụng Dịch Vụ của Người Sử Dụng).
   User Information: Mean digital data or information that identifies a specific individual or organization (including data relating to the User’s transaction history; information regarding activities, history of Using the Service and other information arising during the User’s use of services).

ĐIỀU 2. QUY ĐỊNH CHUNG VỀ ĐIỀU KHOẢN SỬ SỤNG DỊCH VỤ
ARTICLE 2. GENERAL PROVISIONS ON THE USE OF SERVICES

1. Thông qua việc sử dụng Dịch Vụ, Người Sử Dụng nhận biết trách nhiệm, hiểu rõ và tuân thủ các quy định, chính sách của VietUnion.
   By using the Services, the User acknowledges their responsibilities, understands, and agrees to comply with VietUnion’s regulations and policies.
2. Khi cần thiết và/hoặc tùy thuộc vào quy định của pháp luật từng thời kỳ, VietUnion có thể điều chỉnh Điều Khoản này và thông báo đến Người Sử Dụng trên Kênh Giao Dịch. Bản Điều Khoản đã điều chỉnh có hiệu lực kể từ thời điểm được đăng tải.
   When it is deemed necessary and/or subject to applicable laws, VietUnion may amend these Terms and shall publish on the Transaction Channels to notify the Users. The amended Terms shall take effect from the time of publication.
3. Người Sử Dụng có quyền thể hiện sự không đồng ý Điều Khoản được điều chỉnh bằng cách chấm dứt sử dụng Dịch Vụ. Việc Người Sử Dụng tiếp tục sử dụng Dịch Vụ sau thời điểm Điều Khoản sửa đổi có hiệu lực, được hiểu là Người Sử Dụng hoàn toàn đồng ý và cam kết tuân thủ toàn bộ nội dung sửa đổi đó.
   The User has the right to express disagreement with the amended Terms by ceasing the use of Services. Otherwise, by continuing to use the Services after the amended Terms take effect, the User shall be deemed as fully accept and commit to comply with all such amendments.
   Người Sử Dụng có quyền thể hiện sự không đồng ý Điều Khoản được điều chỉnh bằng cách chấm dứt sử dụng Dịch Vụ. Việc Người Sử Dụng tiếp tục sử dụng Dịch Vụ sau thời điểm Điều Khoản sửa đổi có hiệu lực, được hiểu là Người Sử Dụng hoàn toàn đồng ý và cam kết tuân thủ toàn bộ nội dung sửa đổi đó.
   The User has the right to express disagreement with the amended Terms by ceasing the use of Services. Otherwise, by continuing to use the Services after the amended Terms take effect, the User shall be deemed as fully accept and commit to comply with all such amendments.

ĐIỀU 3. CUNG CẤP THÔNG TIN CỦA NGƯỜI SỬ DỤNG
ARTICLE 3. PROVISION OF USER INFORMATION

1. Người Sử Dụng đồng ý và cam kết cung cấp đầy đủ các Thông Tin Người Sử Dụng theo yêu cầu của VietUnion nhằm phục vụ cho mục đích sử dụng Dịch Vụ.
   The User agrees and undertakes to completely provide User Information as required by VietUnion for the Use of Services.
2. Người Sử Dụng đảm bảo rằng các thông tin cung cấp cho VietUnion là trung thực, chính xác, đầy đủ và đã được cập nhật vào thời điểm cung cấp. VietUnion có thể thu thập trực tiếp hoặc gián tiếp Thông Tin Người Sử Dụng từ một hoặc một số các nguồn như được liệt kê dưới đây, bao gồm nhưng không giới hạn:
   The User warrants that the information provided to VietUnion is truthful, accurate, complete, and updated at the time of provision. VietUnion may collect User Information directly or indirectly from one or more of the following sources, including but not limited to:
   • Thông qua quan hệ được thiết lập với VietUnion khi Người Sử Dụng sử dụng Dịch Vụ và/hoặc tham gia vào các chương trình, hoạt động hợp pháp khác của VietUnion.
     Through the relationship established with VietUnion when the User facilitates the Services and/or participates in other legitimate programs, activities of VietUnion.
   • Từ những nguồn của bên thứ ba, mà Người Sử Dụng đồng ý việc chia sẻ, cung cấp thông tin, hoặc những nguồn mà việc thu thập được pháp luật yêu cầu và/hoặc cho phép.
     From third-party sources to which the User has consented for sharing or providing information, or from sources where collection is required and/or permitted by law.
3. Thông Tin Người Sử Dụng được xử lý đúng và giới hạn cho mục đích triển khai Dịch Vụ, theo thỏa thuận giữa VietUnion với Người Sử Dụng và/hoặc quy định của pháp luật từng thời kỳ.
   The User Information shall be appropriately processed and in the limit of implementing the Services as agreed upon between VietUnion and the User and/or as required by law from time to time.
4. Thông Tin Người Sử Dụng được áp dụng các biện pháp bảo vệ, bảo mật trong suốt quá trình sử dụng Dịch Vụ theo Chính Sách Bảo Mật Thông Tin, các chính sách/quy định khác của VietUnion về bảo vệ dữ liệu cá nhân và theo quy định pháp luật trong từng thời kỳ.
   The User Information shall be subject to protective, security measures throughout the use of the Service that in accordance with the Privacy Policy, other policies/regulations of VietUnion on personal data protection and applicable laws from time to time.
5. Thông Tin Người Sử Dụng được lưu trữ trong khoảng thời gian phù hợp với mục đích sử dụng Dịch Vụ và/hoặc theo thời hạn quy định của pháp luật hiện hành.
   User Information shall be retained for a period which appropriate to the purposes of data processing and/or applicable laws from time to time.

ĐIỀU 4. QUY TRÌNH GIAO DỊCH
ARTICLE 4. TRANSACTION PROCESS

1. Đối với Người Sử Dụng là cá nhân:
   For individual User(s):
   • Quy trình đặt mua và thanh toán:
     Ordering and payment process:
     • Bước 1: Chọn mệnh giá và số lượng eVoucher cần mua.
       Step 1: Select the eVoucher denomination and quantity to purchase.
     • Bước 2: Điền đầy đủ thông tin đặt hàng (thông tin người mua hàng, thông tin người nhận, hình thức nhận…).
       Step 2: Provide complete order information (buyer information, recipient information, delivery method, etc.).
     • Bước 3: Chọn hình thức thanh toán trực tuyến phù hợp.
       Step 3: Select an appropriate online payment method.
     • Bước 4: Xác nhận và tiến hành thanh toán.
       Step 4: Confirm and proceed with payment.
   • Quy trình giao hàng:
     Delivery process:
     • Sau khi đơn hàng được thanh toán thành công, VietUnion sẽ gửi thông tin eVoucher qua tin nhắn đến số điện thoại hoặc thư điện tử mà Người Sử Dụng đã cung cấp.
       After the order has been successfully paid, VietUnion will send the eVoucher information via SMS to the phone number or email address provided by the User.
     • Phí gửi eVoucher qua tin nhắn đến số điện thoại là 1.100 VNĐ/tin nhắn (một nghìn một trăm đồng/tin nhắn) (đã bao gồm VAT).
       The fee for sending eVouchers via SMS is VND 1,100 per message (one thousand one hundred Vietnamese dong per message), inclusive of VAT.
2. Đối với Người Sử Dụng là tổ chức:Khi có nhu cầu hợp tác, quý khách vui lòng liên hệ với VietUnion theo thông tin tại đây để được tư vấn.
   For organization User(s): For cooperation inquiries, please contact VietUnion via the contact information provided here for consultation.
3. Chính sách đổi trả/hủy giao dịch:
   Return/Cancellation policy:

   VietUnion không chấp nhận bất kỳ yêu cầu tạm ngưng hoặc thay đổi đơn hàng hoặc hủy bỏ giao dịch và hoàn lại tiền sau khi Người Sử Dụng đã thực hiện thanh toán thành công. Để bảo đảm quyền và lợi ích của mình, Người Sử Dụng cần kiểm tra thật kỹ thông tin trước khi tiến hành thanh toán.
   VietUnion does not accept any request to suspend, modify the order, cancel the transaction, or refund the payment after the User have successfully completed payment. To ensure their rights and interests, the User should carefully check all information before proceeding with payment.

ĐIỀU 5. QUYỀN VÀ TRÁCH NHIỆM CỦA CÁC BÊN
ARTICLE 5. RIGHTS AND OBLIGATIONS OF THE PARTIES

1. Quyền và Trách nhiệm của VietUnion
   Rights and Obligations of VietUnion
   • VietUnion có quyền đề nghị Người Sử Dụng cung cấp thông tin cần thiết, hợp lý để thực hiện Dịch Vụ theo thỏa thuận tại Điều Khoản này.
     VietUnion has the right to request the User to provide necessary and reasonable information in order to provide the Services as agreed in these Terms.
   • VietUnion được thực hiện các biện pháp cần thiết để bảo đảm an toàn, an ninh; bảo vệ và chống lại các truy cập trái phép hoặc sửa đổi trái phép, tiết lộ hoặc phá hủy thông tin trên Kênh Giao Dịch theo quy định pháp luật.
     VietUnion shall implement necessary measures to ensure safety and security; to protect and to against unauthorized access, unlawfulmodification, disclosure, or the destruction of information on the Transaction Channels in accordance with applicable laws.
   • VietUnion có quyền chấm dứt một hoặc tất cả quyền sử dụng Dịch Vụ của Người Sử Dụng vào bất kỳ thời điểm nào và thông báo cho Người Sử Dụng khi nhận thấy Người Sử Dụng vi phạm Điều Khoản này hoặc vi phạm quy định pháp luật.
     VietUnion has the right to terminate one or all rights to the use of Services of the User at any time and notify the User if the User is deemed to be in violation of these Terms or the applicable laws.
   • VietUnion phối hợp với Bên Bán Hàng để thông tin đầy đủ đến Người Sử Dụng các nội dung về dịch vụ eVoucher trên Kênh Giao Dịch như: hướng dẫn sử dụng, thời hạn sử dụng, địa điểm đổi quà, các điều kiện khác liên quan đến việc sử dụng eVoucher (nếu có),…
     VietUnion collaborates with the Seller to properly inform the User with information regarding to eVoucher services on the Transaction Channels such as: usage instructions, validity period, redemption locations, and other conditions related to the use of eVouchers (if any), etc.
   • VietUnion tiếp nhận, giải đáp, xử lý kịp thời các thắc mắc, yêu cầu tra soát khiếu nại, yêu cầu hoàn trả của Người Sử Dụng theo đúng quy định tại các Chính Sách Tra Soát - Khiếu Nại của VietUnion và/hoặc quy định pháp luật có liên quan.
     VietUnion shall receive, respond, promptly handle inquiries, complaints, refund requests, and reconciliation requests from Users in accordance with VietUnion’s Trace - Complaint Policy and/or the relevant applicable laws.
   • VietUnion có trách nhiệm xử lý Thông Tin Người Sử Dụng đúng với mục đích đã được các Bên đồng thuận, trừ trường hợp pháp luật có quy định khác.
     VietUnion is responsible for processing the User Information for the purposes as agreed upon by the Parties, unless otherwise required by the applicable laws.
   • Tuân thủ quy định pháp luật về phòng, chống rửa tiền, tài trợ khủng bố, tài trợ phổ biến vũ khí hủy diệt hàng loạt.
     Complying with the laws on anti-money laundering, counter-terrorism financing, and counter-proliferation financing of weapons of mass destruction.
   • Các quyền và trách nhiệm khác theo quy định của pháp luật và Điều Khoản này.
     Other rights and obligations as prescribed by the laws and these Terms.
2. Quyền và Trách nhiệm của Người Sử Dụng
   Rights and Obligations of the User
   • Người Sử Dụng được VietUnion hướng dẫn, cung cấp các thông tin, tài liệu cần thiết để sử dụng Dịch Vụ một cách hiệu quả.
     The Users shall have VietUnion to guide and provide necessary information, documents to engage in the Services in the most effective manner.
   • Người Sử Dụng có trách nhiệm cung cấp tất cả thông tin theo yêu cầu của VietUnion cho mục đích cung ứng eVoucher trên Kênh Giao Dịch và tự chịu trách nhiệm về tính chính xác, trung thực và đầy đủ của các thông tin này.
     The Users are responsible for providing all information as required by VietUnion for the purpose of providing of eVoucher on the Transaction Channels and are solely responsible for the accuracy, truthfulness and completeness of these information.
   • Người Sử Dụng có trách nhiệm bảo mật thông tin eVoucher sau khi nhận giao hàng từ VietUnion và hoàn toàn tự chịu trách nhiệm về mọi rủi ro, thiệt hại phát sinh từ việc rò rỉ, thất thoát thông tin do lỗi của Người Sử Dụng.
     The User is responsible for maintaining the confidentiality of the eVoucher after receiving the delivery from VietUnion and are solely fully responsible for all risks and damages arising from the leaks, losses of information due to the User's fault.
   • Người Sử Dụng tự chịu trách nhiệm với mọi giao dịch do chính Người Sử Dụng giao kết với VietUnion khi sử dụng Dịch Vụ tại Kênh Giao Dịch.
     The Users are solely responsible for all transactions they enter into with VietUnion when using the Services on the Transaction Channels.
   • Người Sử Dụng đảm bảo tuân thủ các quy trình, chính sách và hướng dẫn khác của VietUnion khi sử dụng Dịch Vụ.
     The Users agree to comply with all procedures, policies, and instructions of VietUnion during the use of Services.
   • Người Sử Dụng phải sử dụng Dịch Vụ đúng mục đích; không được sử dụng Dịch Vụ cho các mục đích rửa tiền, tài trợ khủng bố, tài trợ phổ biến vũ khí hủy diệt hàng loạt, lừa đảo, gian lận hoặc các hành vi vi phạm pháp luật khác và chịu trách nhiệm về những sai sót hay hành vi vi phạm trong quá trình sử dụng Dịch Vụ trên Kênh Giao Dịch.
     The Users must engage the Services for proper use; must not engage the Services for money laundering, terrorist financing, proliferation financing of weapons of mass destruction, fraud, scams, or any other illegal activities, and shall be responsible for any violations or misconduct during the use of Services on the Transaction Channels.
   • Bằng việc sử dụng Dịch Vụ và/hoặc cung cấp thông tin cho VietUnion theo các quy định của Điều Khoản này, Người Sử Dụng đồng ý và cho phép VietUnion xử lý, lưu trữ Thông Tin Người Sử Dụng theo Chính Sách Bảo Mật Thông Tin, các chính sách/quy định khác của VietUnion, trừ trường hợp pháp luật có quy định khác.
     By using the Service and/or providing information to VietUnion in accordance with the provisions of these Terms, the Users consent to allow VietUnion to process and store User Information in accordance with the Privacy Policy , and other policies/regulations of VietUnion, unless otherwise required by the laws.
   • Các thông tin mà Người Sử Dụng tiếp nhận từ VietUnion khi sử dụng Dịch Vụ dù dưới bất kỳ hình thức/phương thức nào, Người Sử Dụng có trách nhiệm bảo mật, không được tiết lộ, phát tán thông tin này đến bên thứ ba và/hoặc dùng nó vào mục đích khác, trừ khi có sự đồng ý bằng văn bản của bên có quyền đối với thông tin đó.
     The Users are responsible for keeping confidential any information they receive from VietUnion while using the Service, regardless of the form or method. The User must not disclose or distribute such information to any third party and/or use it for other purposes without the written consent of the party entitled to that information.
   • Trường hợp Người Sử Dụng vi phạm Điều Khoản này và/hoặc có hành vi khác gây tổn thất, thiệt hại thì Người Sử Dụng có trách nhiệm bồi thường cho VietUnion hoặc bên thứ ba có liên quan (nếu có).
     In case of violation of this Terms and/or causing damage or loss, the User shall compensate VietUnion and/or any relevant third party (if any).
   • Các quyền và trách nhiệm khác theo quy định của pháp luật và Điều Khoản này.
     Other rights and obligations as prescribed by law and these Terms.

ĐIỀU 6. QUYỀN SỞ HỮU EVOUCHER VÀ CHUYỂN GIAO RỦI RO
ARTICLE 6. OWNERSHIP OF EVOUCHERS AND TRANSFER OF RISK

1. VietUnion sẽ chịu mọi rủi ro có thể xảy ra đối với eVoucher cho đến khi hoàn thành việc giao hàng theo thỏa thuận. Mọi rủi ro đối với eVoucher sẽ được chuyển giao sang Người Sử Dụng sau khi VietUnion giao hàng theo Thông Tin Người Sử Dụng cung cấp.
   VietUnion shall bear all risks related to the eVoucher until the completion of delivery in accordance with the agreement. All risks shall be transferred to the User once VietUnion has delivered the eVoucher in accordance with the User Information provided.
2. Quyền sở hữu đối với eVoucher sẽ được chuyển sang cho Người Sử Dụng chỉ từ khi Người Sử Dụng thanh toán đầy đủ tiền mua hàng và VietUnion đã giao hàng theo đúng thỏa thuận.
   The ownership of the eVoucher shall be transferred to the User only after the User has fully paid the purchase price and VietUnion has completed delivery in accordance with the agreement.

ĐIỀU 7. MIỄN TRỪ TRÁCH NHIỆM
ARTICLE 7. DISCLAIMER OF LIABILITY

1. VietUnion không chịu trách nhiệm đối với những thiệt hại trực tiếp, gián tiếp mà Người Sử Dụng phải chịu phát sinh từ hoặc do:
   VietUnion shall not be liable for any direct or indirect damages suffered by the User arising from or in connection with:
   • Việc sử dụng eVoucher hoặc tiếp cận thông tin về eVoucher của bên thứ ba được Người Sử Dụng ủy quyền.
     The use of eVoucher or access to eVoucher information by any third party authorized by the User.
   • Việc Người Sử Dụng để mất, mất cắp hoặc lộ các thông tin liên quan đến eVoucher dẫn đến người khác sử dụng eVoucher để đổi quà tặng bất kể là trường hợp do yếu tố khách quan hoặc chủ quan.
     The User’s loss, theft, or disclosure of any information relating to eVoucher resulting in such eVoucher being used by others for redemption, regardless of whether such circumstances arise from objective or subjective causes.
   • Tính toàn vẹn hoặc tính xác thực của tin nhắn hoặc thư điện tử được gửi thành công cho Người Sử Dụng. The integrity or authenticity of SMS or emails successfully sent to the User.
   • Việc tin nhắn hoặc thư điện tử được thực hiện bởi một bên thứ ba mà người này, bằng bất cứ cách nào, thực hiện việc kết nối thiết bị của họ tới số điện thoại hoặc thư điện tử mà Người Sử Dụng đã đăng ký. Any SMS or emails sent by a third party who, by any means, connects their device to the phone number or email address registered by the User.
   • Sự ngắt quãng, trì hoãn, chậm trễ, tình trạng không sẵn sàng sử dụng hoặc bất kỳ sự cố nào xảy ra trong quá trình cung cấp Dịch Vụ tại Kênh Giao Dịch do các nguyên nhân ngoài khả năng kiểm soát hợp lý của VietUnion, bao gồm nhưng không giới hạn ở tình trạng gián đoạn do Kênh Giao Dịch cần được nâng cấp, sửa chữa, lỗi đường truyền của nhà cung cấp dịch vụ Internet. Any interruption, delay, latency, unavailability, or any incident occurring during the provision of services on the Transaction Channels, including but not limited to interruptions caused by upgrades or maintenance of the Transaction Channels are under upgrades, maintenance, the failures of Internet service providers.
   • Bất cứ trường hợp nào phát sinh các sự kiện bất khả kháng theo quy định pháp luật, bao gồm nhưng không giới hạn bởi các sự kiện thiên tai như: lũ lụt, hỏa hoạn, hạn hán, bão, động đất; các sự kiện xã hội như: biểu tình, bạo động, bạo loạn và chiến tranh (tuyên bố hoặc không tuyên bố), các hoạt động của Chính phủ trong phạm vi thẩm quyền. Any force majeure events as prescribed by the law, including but not limited to natural disasters such as floods, fires, droughts, storms, earthquakes; and social events such as protests, riots, civil unrest, and war (whether declared or undeclared), or actions by competent governmental authorities.
2. VietUnion không chịu trách nhiệm hoàn trả các eVoucher bị mất hoặc ở trạng thái “đã sử dụng” với bất kỳ lý do gì, trừ trường hợp do nhầm lẫn của VietUnion.
   VietUnion shall not be responsible for refunding any lost eVouchers or eVouchers marked as “used” for any reason, except where such issue results from VietUnion’s errors.
3. VietUnion không chịu trách nhiệm đối với Người Sử Dụng và/hoặc bất kỳ bên thứ ba nào khác cho mọi hậu quả phát sinh và/hoặc liên quan đến chất lượng, sản phẩm, dịch vụ từ việc sử dụng eVoucher nếu không do lỗi của VietUnion.
   VietUnion shall not be liable to the User and/or any third party for any consequences arising from and/or related to the quality of goods, services obtained through the use of eVoucher, unless such consequences are caused by VietUnion.
4. Sau khi Dịch Vụ đã được thực hiện thành công, VietUnion không chịu trách nhiệm đối với Người Sử Dụng và/hoặc bất kỳ bên thứ ba nào khác cho mọi hậu quả phát sinh và/hoặc liên quan đến chất lượng, sản phẩm/dịch vụ đã quy đổi thành công từ eVoucher của Bên Bán Hàng, cũng như các tranh chấp về sau liên quan đến việc sử dụng sản phẩm/dịch vụ giữa Người Sử Dụng và Bên Bán Hàng.
   After the Service has been successfully performed, VietUnion shall not be liable to the User and/or any third party for any consequences arising from and/or related to the quality of goods/services of the Sellerwhich had been redeemed, nor for any disputes arising thereafter between the User and the Seller.
5. VietUnion không chịu trách nhiệm về các khiếu nại liên quan đến việc mua bán eVoucher từ các kênh phân phối không chính thức.
   VietUnion shall not be responsible for any complaints relating to the purchase or sale of eVoucher through unofficial distribution channels.
6. VietUnion không chịu trách nhiệm giải quyết bất cứ tranh chấp, khiếu nại nào nếu Thông Tin Người Sử Dụng cung cấp cho VietUnion có sự sai lệch, không chính xác hoặc giả mạo ảnh hưởng đến việc cung ứng và sử dụng Dịch Vụ.
   VietUnion shall not be responsible for resolving any disputes or complaints if the User Information provided by the User is inaccurate, incorrect, or fraudulent which affecting the providing of the Services.

ĐIỀU 8. QUYỀN SỞ HỮU TRÍ TUỆ
ARTICLE 8. INTELLECTUAL PROPERTY RIGHTS

1. Kênh Giao Dịch bao gồm nhưng không giới hạn tên miền, ứng dụng, sản phẩm, dịch vụ, giải pháp, logo và những nội dung khác liên quan đến dịch vụ eVoucher (sau đây gọi tắt là “Tài Sản Sở Hữu Trí Tuệ”) đều thuộc quyền quản lý, sở hữu và sử dụng hợp pháp, toàn vẹn và không chuyển giao của VietUnion. Tài Sản Sở Hữu Trí Tuệ được bảo hộ theo Luật Sở hữu trí tuệ và các quy định pháp luật có liên quan.
   The Transaction Channels including but not limited to the domain name, applications, products, services, solutions, logos, and other contents related to the eVoucher services (hereunder referred as the “Intellectual Property Asset”) are under the management, ownership, and lawful, complete, and non-transferable use rights of VietUnion. Intellectual Property Asset are protected under the Law on Intellectual property and other applicable legal regulations.
2. Người Sử Dụng cam kết không thay đổi, chỉnh sửa, sao chép, truyền bá, phân phối, cung cấp và/hoặc tạo những công cụ tương tự dịch vụ do VietUnion cung cấp cho bên thứ ba nếu không được sự đồng ý bằng văn bản của VietUnion.
   The User undertakes not to modify, edit, copy, disseminate, distribute, provide, and/or create derivative tools similar to the services provided by VietUnion to any third party without VietUnion’s prior written consent.
3. Trừ trường hợp các Bên có thỏa thuận khác bằng văn bản hoặc theo quy định pháp luật, VietUnion nghiêm cấm mọi hành vi xâm phạm quyền sở hữu trí tuệ đối với các Tài Sản Sở Hữu Trí Tuệ của VietUnion.
   Unless otherwise agreed in writing by the Parties or required by law, VietUnion strictly prohibits any acts infringing upon VietUnion’s Intellectual Property Asset.
4. Người Sử Dụng không được trợ giúp hoặc tạo điều kiện cho bên thứ ba sử dụng Tài Sản Sở Hữu Trí Tuệ theo bất kỳ cách thức nào mà cấu thành vi phạm về sở hữu trí tuệ và/hoặc xâm phạm quyền liên quan khác của VietUnion.
   The User shall not assist or facilitate any third party in using the Intellectual Property Asset in any manner that constitutes infringement of intellectual property rights and/or other related rights of VietUnion.

ĐIỀU 9. PHÁP LUẬT ĐIỀU CHỈNH VÀ GIẢI QUYẾT TRANH CHẤP
ARTICLE 9. GOVERNING LAW AND DISPUTE RESOLUTION

1. Điều Khoản này được điều chỉnh và giải thích bởi pháp luật Việt Nam.
   These Terms shall be governed by and construed in accordance with the laws of Vietnam.
2. Mọi tranh chấp, bất đồng phát sinh từ và/hoặc liên quan đến Dịch Vụ trên Kênh Giao Dịch sẽ được giải quyết tại Tòa án có thẩm quyền. Quyết định của Tòa án có giá trị ràng buộc các Bên thi hành. Trong thời gian Tòa án chưa đưa ra phán quyết, các Bên vẫn phải tiếp tục thực hiện quyền và trách nhiệm của mỗi Bên theo quy định của Điều Khoản này. Bên thua kiện phải chi trả các chi phí liên quan đến việc giải quyết tranh chấp theo phán quyết của Tòa án có thẩm quyền.
   Any disputes or disagreements arising from and/or in connection with services on the Transaction Channels shall be resolved by the competent court. The court’s decision shall be binding on the Parties. While the Court has not issued any decision yet, the Parties shall continue to perform their respective rights and obligations under these Terms. The losing party shall bear all costs related to the dispute resolution in accordance with the judgment of the competent court.

ĐIỀU 10. CÁC QUY ĐỊNH KHÁC
ARTICLE 10. MISCELLANEOUS

1. Việc VietUnion không thực hiện hoặc áp dụng bất kỳ quyền hoặc biện pháp nào được quy định tại Điều Khoản này hoặc theo quy định pháp luật không bị xem là VietUnion từ bỏ hoặc hạn chế quyền hoặc biện pháp đó. VietUnion bảo lưu quyền thực hiện quyền hoặc biện pháp đó vào bất cứ thời điểm nào mà VietUnion nhận thấy thích hợp.
   VietUnion’s failure to exercise or enforce any right or remedy under these Terms or applicable laws shall not be deemed a waiver or limitation of such right or remedy. VietUnion reserves the right to exercise such rights or remedies at any time it deems appropriate.
2. Nếu một phần hoặc toàn bộ bất kỳ điều khoản nào trong Điều Khoản không hợp pháp hay không có hiệu lực thì phần đó được tách bạch khỏi Điều Khoản này và không ảnh hưởng đến hiệu lực thực hiện những điều khoản còn lại trong Điều Khoản.
   If any provision of these Terms is found to be unlawful or invalid, such provision shall be severed from these Terms and shall not affect the validity and enforceability of the remaining provisions.
